1. Agreement
These Terms form a binding agreement between you and Cyberou ("we", "us", "our"). If you are using the Service on behalf of an organisation, you confirm that you have authority to bind that organisation, and "you" includes the organisation.
If you do not agree to these Terms, do not use the Service.
2. Eligibility and account
You must be at least 16 years old to use the Service. You are responsible for:
- Providing accurate account information and keeping it up to date
- Keeping your credentials secure and confidential
- All activity that occurs under your account
- Notifying us promptly if you suspect unauthorised access
3. The Service
We provide the Service as described in our documentation and marketing materials. We may add, change, or remove features over time. We aim to keep the Service available but do not guarantee uninterrupted operation; scheduled maintenance and unforeseen outages may occur.
4. Acceptable use
You agree not to:
- Use the Service to break the law or infringe the rights of others
- Reverse engineer, copy, or resell the Service except where allowed by law
- Interfere with the operation or security of the Service
- Send spam, malware, or harmful content via the Service
- Access the Service for benchmarking or to build a competing product
- Impersonate any person or misrepresent your affiliation with any person or entity
5. Your content
You retain ownership of content you submit to the Service ("Your Content"). You grant us a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, and display Your Content as needed to provide and improve the Service.
You are responsible for ensuring you have the rights to submit Your Content and that it does not violate these Terms or applicable law.
6. Our intellectual property
The Service, including software, design, documentation, and trademarks, is owned by Cyberou or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable licence to use the Service while these Terms are in effect. No other rights are granted by implication.
7. Subscriptions and payment
Paid plans renew automatically until cancelled. Fees are charged in advance for the billing period (monthly or annually) selected at sign-up. Except where required by law, fees are non-refundable.
We may change pricing with at least 30 days' notice; changes will not affect the current billing period. If a payment fails, we may suspend or downgrade your account after a reasonable grace period.
8. Termination
You may cancel your account at any time from within the Service or by contacting us. We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to us, our users, or third parties.
On termination, your right to use the Service ends. We may delete your account and data after a reasonable retention period.
9. Disclaimers
The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or meet your specific requirements.
10. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, consequential, special, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the Service or these Terms.
Our total aggregate liability for any claims arising out of or relating to the Service or these Terms will not exceed the greater of (a) the fees you paid us in the 12 months before the claim arose, or (b) £100.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud, death, or personal injury caused by negligence.
11. Indemnification
You agree to indemnify and hold harmless Cyberou and its officers, employees, and agents from any claim, demand, or expense (including reasonable legal fees) arising out of your breach of these Terms, your misuse of the Service, or your violation of any law or rights of a third party.
12. Changes
We may update these Terms from time to time. We will post the updated version and update the "Last updated" date. Material changes will be highlighted in the Service or by email. Continued use of the Service after changes means you accept the new Terms.
13. Governing law
These Terms are governed by the laws of England and Wales. Disputes will be subject to the exclusive jurisdiction of the courts of England and Wales, unless mandatory consumer protection laws in your jurisdiction provide otherwise.
